1.This Partner Agreement (hereinafter referred to as the "Agreement") is entered into between Aster Of Asia Co.,Ltd., registered at 63/202 Moo 2, Koh Kaew, Mueang, Phuket, Thailand 83000, Tax ID: 0835566006003, represented by Director Mr. Leonid Ustinov (hereinafter referred to as the "Company"), and [Partner Name] (hereinafter referred to as the "Partner"). By signing this Agreement electronically, the Partner confirms full understanding and acceptance of all terms and conditions set forth herein.
2.Subject of Agreement. The Company grants the Partner a non-exclusive right to recommend real estate properties from the Company's portfolio to potential clients (hereinafter referred to as "Leads"). The Partner acts as an independent referral agent and is not an employee, franchisee, or legal representative of the Company.
3.Commission Structure. (a) Standard Commission: The Company shall pay the Partner a commission of 30% (thirty percent) of the agency fee for each successfully completed transaction where the Partner has referred a Lead, but the Company's team has conducted viewings, negotiations, and closing. (b) Collaborative Commission: The Company shall pay the Partner a commission of 50% (fifty percent) of the agency fee for transactions where both the Partner and the Company's team have actively participated in client negotiations, maintained regular communication with the client, and jointly managed the sales process to completion. (c) Enhanced Commission: The Company shall pay the Partner a commission of 70% (seventy percent) of the agency fee for transactions where the Partner has independently conducted viewings, negotiations, and substantially managed the entire sales process from Lead introduction to deal completion. (d) The applicable commission rate is determined solely by the Company based on the Partner's actual level of involvement in each specific transaction.
4.Welcome Bonus. The Partner is eligible for a one-time welcome bonus for each Lead that meets all of the following conditions: (a) the Lead was submitted to the Company within seven (7) calendar days of the Partner's first contact with the client; (b) a purchase transaction is successfully completed with this Lead; and (c) the client has made the first contractual payment to the developer, triggering the developer's commission payment to the Company. The welcome bonus amount is determined by the Company and communicated to the Partner separately.
5.Payment Terms. Commission payments shall be made within fourteen (14) business days after the Company receives the full agency fee from the developer or seller for the corresponding transaction. Payments are made by bank transfer to the bank account details provided by the Partner. The Company is not liable for commission payment if the developer or seller fails to pay the agency fee.
6.Partner Obligations. The Partner shall: (a) act in good faith and in compliance with applicable laws; (b) provide accurate and truthful information to clients regarding properties; (c) not make any representations, warranties, or commitments on behalf of the Company; (d) not engage in any fraudulent, misleading, or unethical practices; (e) promptly submit Lead information through the Company's designated platform; (f) not directly contact developers or sellers on behalf of the Company without prior written approval.
7.Company Obligations. The Company shall: (a) provide the Partner with access to current property listings and marketing materials; (b) process and track all submitted Leads in a timely manner; (c) handle legal and administrative aspects of transactions; (d) make timely commission payments in accordance with Section 5; (e) notify the Partner of the status of submitted Leads upon reasonable request.
8.Confidentiality. Both parties agree to keep confidential all non-public information received in connection with this Agreement, including but not limited to commission rates, client data, business processes, and transaction details. This obligation survives termination of the Agreement for a period of two (2) years.
9.Term. This Agreement shall come into effect upon electronic signing by the Partner and shall remain valid for twelve (12) months from the date of signing. The Agreement shall automatically renew for successive twelve-month periods unless either party provides written notice of non-renewal at least thirty (30) calendar days before the end of the current term.
10.Amendments. The Company reserves the right to amend the terms of this Agreement by providing the Partner with written notice via email at least fourteen (14) calendar days prior to the effective date of the amendments. Upon receiving such notice, the Partner will be required to review and re-sign the updated Agreement through the Company's electronic platform. The Partner's failure to re-sign the updated Agreement within thirty (30) calendar days of notification shall be deemed acceptance of the new terms. Upon re-signing, the previous version of the Agreement shall be considered void and all prior electronic signatures shall become invalid.
11.Termination. Either party may terminate this Agreement by providing thirty (30) calendar days' written notice to the other party via email. Upon termination: (a) the Partner shall cease all referral activities; (b) the Company shall pay any outstanding commissions for transactions completed prior to termination; (c) confidentiality obligations shall survive termination.
12.Limitation of Liability. The Company's total liability under this Agreement shall not exceed the total commission payments made to the Partner during the twelve (12) months preceding the claim. Neither party shall be liable for indirect, consequential, or incidental damages.
13.Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising out of or in connection with this Agreement shall be resolved through good-faith negotiations, and if unresolved, through the competent courts of Thailand.
